General Terms and Conditions (GTC)
1. Scope of Application
These General Terms and Conditions apply to the use of the online tool “Visualo Slides” provided by Visualo Labs, owned by Ahmad Mayer-Ismail, Frankfurt am Main (hereinafter referred to as the “Provider”).
Conflicting or deviating terms and conditions of the user shall not be recognized unless the Provider expressly agrees to their validity in writing.
2. Conclusion of Contract
A contract between the user and the Provider is concluded each time the tool “Visualo Slides” is used. A prerequisite is the active confirmation of these GTC as well as this privacy policy by checking the corresponding box before each use.
Use of the tool is not possible without active consent. By checking the box, the user declares that they have read and accepted the GTC.

The Provider recommends that users review the GTC before each use to stay informed about any changes. Amendments to the GTC will be announced in accordance with Section 9 of these GTC and shall enter into force with the next use if the user agrees again by checking the box.
The Provider currently offers the service free of charge. Free use does not establish any entitlement to permanent gratuitous use. The Provider reserves the right to introduce paid models in the future (see Section 8).
3. Description of Services
Visualo Slides is a web-based tool for converting Excel and CSV files into visual diagrams. Use is currently free of charge.The Provider reserves the right to introduce paid models in the future (one-time payments for consumers, subscription models for businesses).
The Provider makes the tool available within the scope of technical possibilities. There is no entitlement to any specific functionality, availability, or further development.
The Provider is entitled to modify, expand, or restrict the scope of functions at any time.
4. Rights of Use
The diagrams created using Visualo Slides remain the property of the respective user.
Users are entitled to use the created content without restriction, including for commercial purposes.
The Provider receives from the user a free, non-exclusive license for the technical processing of uploaded files, insofar as this is necessary for providing the service. This license expires upon completion of processing and deletion of the files.5. Obligations and Responsibility of Users
Users are solely responsible for:- the legality of the uploaded content
- compliance with applicable data protection regulations when transmitting personal data
- the accuracy of the provided data
- compliance with applicable laws
It is prohibited to upload content that:
- violates applicable law
- infringes the rights of third parties (in particular copyrights, data protection rights, or trade secrets)
- contains malware or harmful code
6. Liability
The Provider shall be liable without limitation for damages resulting from injury to life, body, or health, as well as for damages caused intentionally or through gross negligence, and under the German Product Liability Act.
In the event of slight negligence involving the breach of essential contractual obligations (cardinal obligations), the Provider’s liability shall be limited to the amount of foreseeable damages typical for the contract.
Otherwise, liability of the Provider for damages caused by slight or ordinary negligence is excluded. This applies in particular to:
- the accuracy, completeness, or suitability of the generated presentations for specific purposes
- data loss
- damages caused by temporary unavailability of the service
- damages caused by users uploading defective or unlawful data
With respect to businesses (B2B), the Provider’s total liability per case of damage shall additionally be limited to the amount paid by the user for the use of the service within the 12 months preceding the occurrence of the damage. In the case of free use, the Provider shall only be liable for intent and gross negligence.
7. Availability and Changes
The Provider endeavors to ensure the highest possible uninterrupted availability of the service. However, there is no entitlement to permanent availability. The Provider reserves the right to:- modify functions
- adapt services
- further develop the offering
- discontinue the service in whole or in part
8. Transition to Paid Models
The Provider reserves the right to introduce paid usage models in the future, in particular one-time payments or subscription models.
A transition from free to paid use will be announced through a clear notice on the website.
Users who do not wish to agree to the paid model may discontinue use of the service.
9. Amendments to the GTC
The Provider reserves the right to amend these GTC at any time with effect for the future.
Amended GTC will be published on the website at: https://visualolabs.com/allgemeine-geschaeftsbedingungen/ and shall enter into force on the date specified there. The date of the currently valid version will be indicated at the end of the GTC.
By checking the box, the user accepts the version of the GTC valid at the time of use.
It is the user’s responsibility to review the GTC for changes before each use. The date of the last amendment will always be stated at the end of the GTC.
10. Term and Termination
The usage agreement is concluded for the duration of the respective usage session and ends automatically upon completion of processing and deletion of the uploaded files.
No continuing contractual relationship beyond the individual usage session is established. No ongoing obligations arise beyond the respective usage session.
11. Final Provisions
The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
For businesses (B2B), the exclusive place of jurisdiction for all disputes arising from this contract shall be Frankfurt am Main. For consumers (B2C), the statutory place of jurisdiction shall apply.
Should individual provisions of these GTC be wholly or partially invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that comes as close as possible to the economic purpose of the invalid provision.
